WHAT TO EXPECT

As an innovation leader, we look for ambitious, forward-thinking, open-minded, and well-rounded individuals to join our global team. Located in our Denver office, we are seeking a Corporate Paralegal.

  • Your fit in the organization will be a member of the governance and securities team.
  • You'll be working to provide paralegal support to Gates in-house securities and governance lawyer and various corporate functions to manage the Company's global corporate entities utilizing the Company's entity management software system, draft or review all subsidiary resolutions and minutes, track and facilitate subsidiary governance and meetings, complete other subsidiary-related requests including officers' certificates and legalized documents, manage local counsel as needed, manage documentation for internal reorganizations, maintain and develop templates, and assist with special projects.
  • This is an exciting opportunity with responsibility for various projects primarily assigned by the Chief Legal Officer and Assistant General Counsel.
  • Your objective/goals will be to prioritize, organize, and manage projects to completion.

Key responsibilities:

  • Support U.S. domestic and foreign subsidiary needs in alignment with Gates' priorities and company policies (over 100 entities in approximately 30 countries)
  • Directly maintain minutes, resolutions, templates, and other corporate materials and information for U.S. and other select jurisdictions; responsible for liaising with local teams to ensure maintenance of equivalent records for all other Gates entities
  • Utilize entity management software to maintain and track subsidiary data, such as board member appointments and powers of attorney globally, and maintain and manage corporate organizational structure chart
  • Maintain global board and other corporate meetings tracker in order to support compliance with deadlines, attend meetings and draft minutes as needed, and ensure internal approval is in place before meetings and required documents are executed
  • Provide guidance, training and support to Gates colleagues overseas that assist with corporate secretarial work in-country
  • Engage and oversee international corporate services firms, relevant outside counsel providers, and external director appointees for our subsidiaries, including related expenses
  • Work closely with law department, tax, treasury, and corporate development groups in supporting various internal reorganizations, debt and equity financing activities, and M&A activities
  • Respond to third party KYC and AML requests related to corporate documents and personal information from directors and officers
  • Assist with special projects that may relate to legal operations, public company support, compliance, or legal support of human resources or commercial functions
ABOUT YOU
  • 5+ years of prior experience in-house or with a law firm.
  • Paralegal Certificate preferred.
  • Background in corporate law preferred.
  • Experience working with colleagues internationally preferred.
  • Experience with entity management platforms preferred.
  • Excited to work in the office with great teammates.
  • Project Management skills required.
  • Ability to work well with and be respectful of others required.
  • Proven ability to be flexible, continuously improve, and work well independently in a fast paced, deadline-driven environment while managing multiple, competing priorities and maintaining a strong focus on detail.
  • Must have the initiative to anticipate needs, identify process improvements and provide solutions.
  • Proven ability to spot issues and exercise ethical judgment.
  • Excellent verbal and written communication skills, strong interpersonal skills and demonstrated ability to communicate well within all levels of the organization and with external clients.
  • Must possess the self-confidence to make decisions and follow them through with peers and management and to appropriately elevate issues.
  • Excellent computer skills, including Microsoft Office.
  • Must be legally authorized to work in the United States without company sponsorship.
