Position Summary:

The Senior Counsel's principal area of focus will be to support the midstream commercial operations of the Partnership, including natural gas gathering and processing, intrastate natural gas pipelines, LNG, and alternative energy commercial transactions. This role will be responsible for drafting and negotiating commercial agreements, advising on a large portfolio of existing commercial agreements, and providing legal advice and support for new greenfield project development activities. This role will be a member of the natural gas commercial legal team reporting to the Associate General Counsel, who is the lead attorney for all of the foregoing matters.

This position requires prior transactional experience and commercial acumen. The ideal candidate will perform work independently in a fast-paced environment and will work collaboratively with the commercial team on complex transactions and legal issues to achieve practical business outcomes.

Essential Duties & Responsibilities:

* Provide legal advice and recommendations for action regarding matters of significant complexity, which may have a material economic impact on business activities and operations.

* Draft complex midstream commercial agreements.

* Provide day-to-day counsel and advice to senior and executive management of the Partnership.

* Participate in contract or other commercial negotiations with counterparties.

* Monitor and anticipate changes in law or regulation that could impact existing midstream assets or agreements and propose practical solutions.

Minimum Education & Experience:



  • Bachelor's degree.
  • Juris Doctorate degree from an accredited law school.
  • Minimum three (3) years' experience as a transactional attorney.
  • Experience drafting and participating in negotiations of complex commercial agreements.
  • Ability to provide proof of license to practice law and maintain currency of license.

Physical Requirements:



  • Sedentary to light work exerting up to 10 pounds of force occasionally, and/or negligible amount of force frequently to lift, carry, push, pull or otherwise move objects.
  • Ability to view computer screen, sit, stand or walk for extended periods of time.
  • Ability to operate a computer, copy machine, fax machine, calculator, telephone and other miscellaneous office equipment.


Working Conditions:



  • Ability to produce quality work in a fast-paced environment with high daily pressure to meet deadlines.
  • Ability to work non-standard work hours as needed or required to meet established deadlines.
  • Ability to work indoors, in an office environment.
  • Subject to normal office noise levels.
  • Ability to travel occasionally to work or field locations, and/or to attend meetings or training, including overnight stays.
