OVERVIEW



The Corporate Counsel is responsible for the oversight of the global legal function, performing legal review of customer, supplier, and service provider contracts, leases, confidentiality agreements and assisting in the merger and acquisition process through NDA creation/review, letter of interest and purchase agreement review, and diligence/integration activities. In addition, the Corporate Counsel supports and ensures global regulatory compliance, manages litigation in conjunction with outside counsel, assists with Board of Directors activities such as meeting minutes and consents, and serves as the legal representative for ESOP related matters (plan document, amendments, interpretation).



POSITION RELATIONSHIPS



The Corporate Counsel reports to the IEWC CFO, and will work collaboratively with:



  • Executive leadership team
  • Business unit leadership teams
  • Functional leadership
  • Others throughout the business, as necessary



KEY RESPONSIBILITIES




  • Plans and directs all aspects globally for the company's legal affairs and ensures all business policies and activities are managed correctly and in compliance with current laws.
  • Reviews changes to law and regulations and advises leadership about any impact to the business.
  • Provides guidance and counsel to leadership on business transactions and initiatives
  • Oversees the preparation and review of filings, applications, registrations and other legal documents.
  • Assists or represents the company in business negotiations, including mergers and acquisitions.
  • Leads the company and all businesses globally in all litigation matters, including defense and prosecution.
  • Ensures that all company communications, contracts, documents, filings and press releases comply with legal policy and procedures.
  • Develops strategic legal guidance to support the company's global operations: Oversees legal matters in international affairs, ensuring compliance with laws across jurisdictions.
  • Assesses and manages legal risks associated with the company's business activities, providing proactive advice to mitigate potential liabilities.
  • Is the legal liaison for all ESOP activities including management of the Plan Document, required amendments, board reporting, compliance activities, and repurchase obligation management.
  • Collaborates with the Board of Directors and executive leadership on governance policy issues and ensures compliance with applicable laws and regulations.
  • Serves as Secretary for the Board of Directors, overseeing the preparation of meeting minutes for full Board as well as Board Committee meetings.
  • Engages, coordinates with and manages outside counsel, as needed.
  • Performs full range of people-management responsibilities, including interviewing, hiring, disciplinary actions, performance management, compensation decisions, coaching and development.

Qualifications and SKILLS



  • Education and/or Experience: Juris Doctorate degree or Master of Laws from an accredited law school required
  • 10+ years Legal Dept leadership role in a global company or equivalent.
  • Reasoning Ability: Ability to define problems, collect data, establish facts and draw valid conclusions. Ability to interpret an extensive variety of technical and business information and deal with several abstract and concrete variables.
  • Computer Applications Skills: Ability to work in a Windows environment, to work with business applications and with standard current computer applications. IT savy as we move toward finance digital transformation to reallocate resources away from manual tasks and toward business value driving activities.
  • Holds integrity paramount to all, followed closely by customer service, quality, collaboration, teamwork, drive, compliance, hard work, discipline, accountability and continuous improvement.

  • Travel: Occasionally required to perform work related travel, both internationally as well and domestically.
