THE ROLE The Regulatory Lead Specialist/Paralegal is responsible for assisting in implementing regulations and other requirements applicable to MFS' stewardship activities and sustainability strategies, including the integration of environmental, social and governance ("ESG") factors into its investment process.This position will assist in assessing the impact of global regulatory changes on matters relating to stewardship and sustainability. WHAT YOU WILL DO
Assist in monitoring and responding to industry and global regulatory developments with respect to stewardship (including engagement with issuers and voting at shareholder meetings at portfolio companies held by the firm's clients) and sustainability and work with Legal and business partners/key stakeholders to determine applicability of such developments. Facilitate communication and collaboration between the Legal department and internal business units to align business processes with regulatory requirements relevant to stewardship and sustainability. Serve as the secretary to internal committees established with respect to stewardship and sustainability, including preparing agendas, minutes and materials for the firm's Corporate Sustainability Committee, Investment Sustainability Committee and Proxy Voting Committee. Oversee and coordinate any filings with global regulatory authorities or other entities with respect to our proxy voting activities, including the Form N-PX filings on behalf of the firm, its subsidiaries and U.S. registered funds sponsored by the firm. Work with Legal partners and third-party service providers in preparing certain disclosure documents and reports required to be prepared by Luxembourg-domiciled pooled vehicles classified by the firm's Luxembourg management company under Article 8 or 9 of the European Union's Directive on Sustainability-related Disclosures in the Financial Services Sector. Review client agreements, communications and reports with respect to the firm's stewardship and sustainability activities. Provide review and drafting support for disclosure and regulatory documents and reports with respect to the firm's stewardship and sustainability activities. Create and maintain procedures, practices, templates, or standards to effectively manage regulatory change. Conduct period assessments to evaluate the effectiveness of procedures, processes, and operating practices associated with role, proactively recommending improvements to ensure adequate controls exist and are being utilized. Assist with or lead firm and department projects as needed.
WHAT WE ARE LOOKING FOR
Bachelor's degree and minimum of 5 years' experience within the Financial Services/Investment Industry or equivalent experience, with progressively increasing responsibilities and accomplishments. In-depth knowledge of investment management industry. Experience as a paralegal in the investment management or corporate group of a law firm or the legal department of an asset manager or experience as a compliance professional in the compliance department of an asset manager. Oversee and coordinate filings with relevant regulatory authorities and other entities. Knowledge of documentation preparation, particularly regulatory disclosure and/or offering materials for pooled investment vehicles. Experience with development of policies and procedures. Persuasive communication skills and comfortable speaking to and/or presenting to individuals at all levels within the organization, as well as regulators, external business partners, etc. Demonstrated ability to work effectively with a variety of MFS associates and outside parties across a multi-office and culturally diverse environment. Ability to function with a high degree of independence, accuracy, and limited supervision, taking initiative, exercising discretion, and applying strong critical thinking and judgment. Demonstrated project management skills and the ability to analyze operational effectiveness to achieve compliance with laws, regulations, ordinances, policies, and procedures. Knowledge of Microsoft Office and legal software applications. Must embrace the use of technology in the performance of the role.
PREFERRED SKILLS, QUALIFICATIONS & EXPERIENCE
Experience with corporate governance matters preferred. Prior experience with SEC filings. Prior experience conducting legal research.
#LI-JN1 Base Salary Range: $76,500.00 - $109,500.00 This position is eligible for competitive incentive bonus.
