Position Summary

We are seeking an associate interested in securities regulation and corporate governance who is highly motivated to join our firm. The associate should have at least five years of experience at a law firm or experience in-house at a US-listed company doing SEC reporting and corporate governance work. The associate should have prior experience advising on SEC disclosure, stock exchange rules and Section 16 reporting. If from a law firm, the associate can have been in various practices (i.e., M&A, securities/capital markets, or executive compensation). The associate should have a strong desire to focus solely or almost exclusively on securities regulation and corporate governance matters and should be personable with clients, responsive and able to handle both billable and non-billable matters. The associate will work on a sizable number of US-listed companies, with a dynamic group of partners and counsels across M&A, PCAG (Public Company Advisory Group), capital markets, executive compensation, white collar, litigation, financial restructuring and project finance. The associate will also support the group in its client alerts and other thought leadership published throughout the year. The associate should be someone who sees the big picture and is simultaneously highly detail-oriented, as well as hardworking, responsive, and good with people (client contact is constant, multiple times a day, with opportunities for associates to have direct access to the C-suite and board).


Duties and Accountabilities
  • Advise US-listed company clients on SEC disclosure obligations, stock exchange requirements, Section 16 reporting and corporate governance matters
  • Support the preparation and review of periodic reports, proxy statements, registration statements and other SEC filings
  • Provide practical guidance to senior management, boards of directors and board committees on public-company reporting and governance issues
  • Collaborate with colleagues across M&A, public company advisory, capital markets, executive compensation, white collar, litigation, financial restructuring and project finance practices
  • Manage a significant and varied portfolio of public-company matters
  • Maintain frequent, responsive client communications and develop direct working relationships with C-suite executives, directors and in-house legal teams
  • Identify and analyze emerging securities regulation, corporate governance and stock exchange developments affecting clients
  • Assist with the preparation of client alerts, articles and other thought-leadership materials on securities regulation and corporate governance topics
  • Apply sound judgment and close attention to detail while maintaining a strategic perspective across complex client matters
  • Contribute to the ongoing growth and development of the firm's securities regulation and corporate governance practice

Qualifications
  • 5+ years of substantive SEC disclosure and corporate governance experience at a leading law firm, with a strong foundation in public company reporting and securities law issues
  • Ability to run discrete aspects of projects independently, with appropriate supervision
  • Exercises sound legal and commercial judgment; identifies issues early and proposes practical, business-oriented solutions
  • Demonstrates intellectual curiosity and creative thinking when addressing complex legal and structural issues
  • Anticipates client needs and maintains a service-oriented mindset consistent with our client expectations
  • Communicates clearly and professionally with clients, opposing counsel, and internal stakeholders
  • Strong academic record and excellent legal drafting and analytical skills
  • Contributes to a collaborative, high-performing deal team culture
  • A Juris Doctor (JD) degree (LLM or foreign equivalent) from an accredited law school
  • Admitted to the New York bar (or the ability to become admitted) and in good standing
  • Strong time management skills, ability to stay calm under pressure when juggling multiple projects
  • Proactive, resourceful, takes initiative and a self-starter
  • Fluency in English

Salary range: US$310,000 - $390,000
